Welcome to NisonCo Inc.’s website at nisonco.com (the “Site”). These Terms & Conditions (“Terms”) govern your use of the Site, our content, our AI tools accessible through the Site, and any communications you initiate with us via the Site (collectively, the “Services”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms do not govern client engagements. If you become a client of NisonCo, the specific terms of your engagement will be set out in a separate Master Services Agreement, Statement of Work, or similar written agreement. To the extent there is a conflict between these Terms and a written engagement agreement, the engagement agreement controls.
1. Use of the Site
You may use the Site for lawful, non-commercial purposes including learning about NisonCo’s services, reading our blog and case studies, contacting us for business development, subscribing to our newsletter, and interacting with publicly accessible AI tools and demos we provide.
You may not:
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation
- Scrape, harvest, or extract data from the Site through automated means without our express written consent (this includes use of bots, crawlers, or AI agents for non-search-engine purposes)
- Reverse engineer, decompile, or attempt to extract source code of any software made available through the Site
- Attempt to gain unauthorized access to the Site, its servers, or any related systems
- Interfere with or disrupt the Site or servers, including by introducing viruses, malware, or other harmful code
- Use the Site to harass, threaten, defame, or impersonate any person or entity
- Use the Site to send unsolicited bulk messaging or other forms of spam
- Frame, mirror, or otherwise reproduce substantial portions of the Site without our prior written consent
We grant search engines and reputable AI search platforms permission to crawl, index, and reference our publicly available content for the purpose of returning search results, including AI-generated responses that cite our content. We do not consent to use of our content for training AI models without express written permission.
2. Intellectual Property
All content on the Site — including text, graphics, images, logos, videos, software, AI tool interfaces, and the overall design — is owned by NisonCo or licensed to us. It is protected by copyright, trademark, and other intellectual property laws.
You may view content on the Site for personal, non-commercial purposes; print or download individual pages for your personal reference; and quote brief portions of our content with attribution and a link back to the source (consistent with fair use).
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit our content without our prior written consent; remove or alter copyright, trademark, or other proprietary notices; or use our logo, trademarks, or trade names without our prior written consent.
If you submit content to us (through a contact form, a comment, a demo submission, an AI tool prompt, or otherwise), you grant NisonCo a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute that submission for the purpose of responding to you, improving our Services, and complying with our legal obligations. You represent that you own or have the right to submit any content you provide.
3. AI Tools and Demos
The Site may include access to AI-powered tools, demonstrations, calculators, or interactive widgets (collectively, “AI Features”). These AI Features are provided for informational and demonstration purposes only.
By using any AI Feature, you understand and agree that:
- Output is not professional advice: AI Features generate output based on patterns in their training data and your input. The output is not legal, financial, medical, marketing, or other professional advice.
- Output may be inaccurate: AI systems can produce false, outdated, or misleading information. We make no warranties about the accuracy, completeness, or reliability of AI-generated output.
- Your inputs may be processed: Information you submit to AI Features may be transmitted to third-party AI service providers (such as OpenAI or Anthropic) for processing in accordance with their data handling terms and our Privacy Policy. Do not submit confidential, sensitive, or personally identifying information about other people without their consent.
- Use at your own risk: You use AI Features at your own risk. Decisions you make based on AI output are your responsibility.
- No client relationship is created: Using an AI Feature does not establish a professional services or client relationship with NisonCo.
4. Newsletter and Marketing Communications
By subscribing to our newsletter, you consent to receive marketing emails from NisonCo regarding our services, content, events, and offers. You can unsubscribe at any time using the link in any marketing email or by emailing evan@nisonco.com.
5. Disclaimer of Warranties
THE SITE AND ALL CONTENT, SERVICES, AND AI FEATURES PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
NisonCo does not warrant that the Site will be uninterrupted or error-free; that defects in the Site will be corrected; that the Site is free of viruses or other harmful components; that the information on the Site is accurate, complete, reliable, or current; or that AI Features will produce accurate, reliable, or specific results.
You acknowledge that you use the Site at your own risk.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NISONCO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SITE OR ANY SERVICES OR CONTENT MADE AVAILABLE THROUGH IT, EVEN IF NISONCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL NISONCO’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100) USD, OR THE AMOUNT YOU HAVE PAID NISONCO IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you in full.
7. Indemnification
You agree to indemnify and hold harmless NisonCo, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to your use of the Site; your violation of these Terms; your violation of any third-party right, including intellectual property or privacy rights; and any content you submit through the Site.
8. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Middlesex County, New Jersey, and you consent to the personal jurisdiction of those courts.
If you are a consumer located in a jurisdiction where mandatory consumer protection rules apply, nothing in these Terms is intended to deprive you of the protections of those rules.
9. Changes to These Terms
We may update these Terms from time to time. The updated version will be effective when posted to the Site with a new “Last Updated” date. If we make material changes, we will provide more prominent notice (such as via email or a banner). Your continued use of the Site after changes constitutes your acceptance of the updated Terms.
10. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms.
11. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
12. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NisonCo regarding your use of the Site. They supersede any prior agreements between you and NisonCo regarding the Site. For client engagements, a separately executed Master Services Agreement or Statement of Work controls over these Terms.
13. No Waiver
Failure by NisonCo to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
14. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely.
